Jenzy Terms and Conditions
1. Introduction
1.1 These terms and conditions (the “Terms”) govern your access to and use of the services provided by Jenzy Ltd (“Jenzy”, “we”, “us” or “our”) through your Jenzy account (the “Jenzy Account”) and our website or platform (the “Jenzy Services”).
1.2 By creating a Jenzy Account or using any part of the Jenzy Services, you agree to be bound by these Terms, along with our Privacy Policy and any other policies or guidelines we make available to you from time to time (collectively, the “Agreement”).
1.3 Jenzy Ltd is a company registered in England and Wales with its registered office at 20 Wenlock Road, London, N1 7GU.
1.4 These Terms form a legally binding agreement between you and Jenzy and apply to all use of Jenzy Services by you or any authorised users on your behalf.
1.5 If you do not agree to these Terms, you must not use the Jenzy Services.
2. Definitions and Interpretations

"Jenzy Account" means the account created and opened by Jenzy in your name for the purpose of accessing and using Jenzy Services.

"Jenzy Services" means the payment services provided to you by Jenzy, including cross-border payments and currency exchange transactions. Jenzy does not custody user funds; all transactions are facilitated through licensed financial partners.

"Nominated Account" means the bank account owned by you and registered with Jenzy for the purpose of sending or receiving payments.

"Payment Transaction" means a transaction initiated by you to send or receive funds through the Jenzy platform, facilitated by third-party financial partners.

"Privacy Policy" means the privacy policy that governs how we collect, use, and protect your personal information.

"Prohibited Activities" means activities not permitted under these Terms, including any illegal or restricted uses.

"You" or "your" means the individual or entity that is entering into this Agreement with Jenzy.
2.2 Any references to the singular include the plural and vice versa, and references to one gender include all genders.
2.3 Headings are for convenience only and do not affect interpretation.
2.4 References to any law or regulation include any amendments or modifications to such law or regulation.
3. Creating a Jenzy Account
3.1 Eligibility Criteria
- To create and maintain a Jenzy Account, you must:
- Be at least 18 years old.
- Act on behalf of a legally incorporated business or operate as a sole proprietor.
- Have the authority to enter into this Agreement.
- Comply with all applicable laws and regulations in your jurisdiction.
3.2 Account Registration
- To open a Jenzy Account, you must complete the registration process via our platform, providing accurate and complete information, including:
- Business name and registration details;
- Your full name and contact information;
- A valid email address;
- Bank account details for the Nominated Account.
3.3 Verification
- Jenzy may request additional information during the registration process or at any time during your use of the Jenzy Services to comply with legal and regulatory requirements, including:
- Proof of identity and address;
- Business incorporation documents;
- Proof of bank account ownership.
- You agree to provide this information promptly upon request. Failure to do so may result in suspension or termination of your Jenzy Account.
3.4 Account Maintenance
- You are responsible for maintaining the accuracy of all information associated with your Jenzy Account and must promptly update your account details if there are any changes.
- You must not share your Jenzy Account with other businesses or third parties without our prior written consent.
3.5 Authorized Users
- You may designate authorized users to access your Jenzy Account. By adding an authorized user, you confirm their authority to act on your behalf. You are responsible for all activities conducted by your authorized users.
3.6 Non-Custodial Nature of Jenzy Services
- Jenzy facilitates cross-border payment transactions through licensed financial partners. Jenzy does not hold, manage, or custody any user funds at any point during the transaction process.
- All funds are transferred directly between your Nominated Account and the recipient's account through our financial partners.
3.7 Account Suspension or Termination
- We reserve the right to suspend or terminate your Jenzy Account if:
- You provide false or misleading information;
- You fail to comply with our verification requirements;
- You engage in prohibited activities (as outlined in Section 8);
- You violate any term of this Agreement.
3.8 Notifications and Communication
- All communications regarding your Jenzy Account, including verification requests and transaction confirmations, will be sent to the email address associated with your account. You are responsible for keeping your contact information up to date.
4. Using Jenzy Services
4.1 Service Overview
- Jenzy Services enable you to perform cross-border payments and currency exchange transactions seamlessly. These transactions are executed through licensed financial partners, with Jenzy providing the technological platform to initiate, track, and manage payments.
4.2 Initiating a Payment Transaction
- To initiate a Payment Transaction, you must:
- Log in to your Jenzy Account.
- Select or add a recipient, providing accurate beneficiary information.
- Specify the amount and currency for the transfer.
- Confirm the transaction details before submission.
4.3 Transaction Confirmation
- Upon successfully initiating a Payment Transaction, you will receive a confirmation summarizing:
- The transaction amount and currency;
- The estimated processing time;
- Any applicable fees;
- The recipient’s details.
- You are responsible for ensuring all transaction details are correct. Once submitted, transactions cannot be reversed.
4.4 Processing Times
- Processing times may vary depending on:
- The recipient’s financial institution;
- Banking hours in the relevant jurisdiction;
- Compliance and verification checks.
- Typically, transactions are processed within [Insert Estimated Time], but delays may occur due to third-party processing.
4.5 Non-Custodial Payment Flow
- Jenzy does not hold or control any funds during the transaction process. All payments are routed directly from your Nominated Account to the recipient via our licensed financial partners.

- If a currency conversion is required, Jenzy will provide you with a live exchange rate before you confirm the transaction. Rates are provided by our financial partners and are valid at the time of confirmation.
- Currency conversions are executed at the rate displayed when you approve the transaction, and fees (if applicable) will be transparently displayed.
4.7 Tracking Your Transactions
- You can monitor the status of your Payment Transactions through your Jenzy Account dashboard. Status updates will reflect:
- Pending: The transaction is being processed.
- In Progress: The transaction is being transferred through partner networks.
- Completed: The transaction has reached the recipient.
- Failed: The transaction could not be processed (an error notification will be sent).
4.8 Communication Regarding Transactions
- Jenzy will notify you via email and through your Jenzy Account dashboard at each stage of the transaction. You are responsible for monitoring these updates.
4.9 Responsibility for Accuracy
- It is your responsibility to ensure that all recipient information and payment details are accurate. Jenzy is not liable for delays or losses resulting from errors in the information you provide.
5. Payment Transactions
5.1 Overview of Payment Transactions
- Jenzy enables you to initiate Payment Transactions through its platform. These transactions are processed and completed by licensed financial partners, with Jenzy acting as the technology provider that facilitates the initiation and tracking of payments.
5.2 Initiating a Payment
- To make a payment, you must:
- Log in to your Jenzy Account.
- Select the recipient or add a new recipient's details, including:
- Recipient's name
- Recipient's bank account information
- Country of destination
- Specify the amount and currency.
- Confirm the transaction on the summary page.
5.3 Nominated Account
- All payments must be initiated from your Nominated Account:
- The Nominated Account must be registered with Jenzy.
- It must be in your business name and under your legal control.
- Payments will be debited directly from your Nominated Account and transferred to the recipient’s account.
5.4 Exchange Rates and Quotes
- If your Payment Transaction involves a currency conversion, Jenzy will provide you with a real-time Exchange Rate at the time of transaction initiation.
- This Exchange Rate is presented before you confirm the transaction and is locked in upon confirmation.
- The rate provided is valid for 15 minutes from the time it is displayed to you. If you do not confirm the transaction within this period, a new quote will be required.
- Exchange rates are provided by our licensed financial partners and may reflect market conditions.
5.5 Right to Reject a Transaction
- Jenzy reserves the right to reject any Payment Transaction if:
- The transaction exceeds your account limits.
- There are inaccuracies in the recipient’s details.
- Insufficient funds are detected in your Nominated Account.
- The transaction is flagged for compliance or security reasons.
- It breaches local or international regulations or sanctions.
- If your transaction is rejected, you will be notified immediately with the reason for the rejection.
5.6 Processing Times and Cut-Offs
- Transactions are processed as soon as funds are received and verified:
- Payment requests received after [Insert Time] on a Business Day, or on non-Business Days, may be processed the next Business Day.
- Processing times depend on the banking hours of the recipient's financial institution and compliance checks.
5.7 Transaction Confirmation and Tracking
- After initiating a payment, you will receive:

- A transaction reference number for tracking purposes.
- You may track the status of your payment through your Jenzy Account dashboard.
5.8 Payment Accuracy
- You are responsible for ensuring the recipient details are accurate. Jenzy is not liable for losses arising from:
- Incorrect account details provided by you.
- Incomplete or inaccurate information about the recipient.
5.9 Transaction Amendments or Cancellations
- Once confirmed, Payment Transactions cannot be amended or canceled. You are encouraged to review all details carefully before submission.
5.10 Failed or Rejected Payments
- A Payment Transaction may fail or be rejected if:
- Insufficient funds are available in your Nominated Account.
- Incorrect or incomplete beneficiary details are provided.
- The payment is flagged for compliance or security reasons by our financial partners.
- You will be notified immediately if a transaction fails or is rejected.
5.11 Refunds and Reversals
- Jenzy does not custody user funds; therefore, any request for a refund or reversal must be directed to the financial partner processing the transaction.
- Jenzy will provide support in facilitating communication with the financial partner where required.
- If a Payment Transaction is reversed or canceled due to an error on Jenzy's part, associated fees will be refunded. For reversals due to user error, fees may not be refundable.
- We will process any refund of fees as soon as reasonably practicable unless we have reason to believe that:
- The incident was caused by a breach of this Agreement,
- The incident occurred due to your negligence, or
- There are reasonable grounds to suspect fraud or misuse of Jenzy Services.
5.12 Cross-Border Limitations and Restrictions

Certain transactions may be subject to local regulations, sanctions, or restrictions. Jenzy will notify you if your transaction cannot be completed due to these limitations.
6. Fees and Charges
6.1 Overview of Fees
- Jenzy charges fees for the facilitation of cross-border Payment Transactions and currency exchange services. These fees are transparently displayed before you confirm each transaction.
6.2 Types of Fees
- The following fees may apply to your use of Jenzy Services:
- Transaction Fee: A fixed or percentage-based fee applied to each Payment Transaction, depending on the destination country and currency.
- Currency Exchange Fee: If your Payment Transaction involves a currency conversion, a margin may be applied to the exchange rate provided by our licensed financial partners.
- Reversal or Return Fee: If a transaction is rejected or returned due to incorrect information or regulatory issues, a processing fee may apply.
- Administrative Fee: In case of a failed transaction due to non-compliance, insufficient funds, or incorrect account details, an administrative charge may be imposed.
6.3 Fee Transparency
- Before you complete a Payment Transaction, Jenzy will provide you with:
- The full breakdown of fees applied.
- The total cost of the transaction.
- The exchange rate (if applicable).
- You must review and accept these fees before submitting the transaction.
6.4 Payment of Fees
- All fees will be deducted directly from your Nominated Account at the time the transaction is initiated.
- You authorize Jenzy and its financial partners to collect these fees as part of the payment processing.
6.5 Currency of Fees
- Fees are charged in the currency of the Payment Transaction unless otherwise specified.
6.6 Changes to Fees
- Jenzy reserves the right to amend its fee structure. Any changes to fees will be communicated to you at least 30 days in advance and will only apply to transactions initiated after the change takes effect.
6.7 Tax Obligations
- You are responsible for any taxes, duties, or other governmental levies arising from your use of Jenzy Services. Jenzy does not withhold taxes unless required by law.
7. Security and Account Management
7.1 Account Security Responsibilities
- You are responsible for maintaining the confidentiality of your Jenzy Account login credentials, including:
- Username
- Password
- Two-factor authentication (if enabled)
- You must not share your login credentials with any third party. Any action taken using your credentials will be considered authorized by you.
7.2 Monitoring and Notifications
- You are responsible for regularly monitoring your Jenzy Account for:
- Unauthorized transactions
- Suspicious activity
- Account changes
- If you suspect unauthorized access or suspicious activity, you must immediately:

7.3 Two-Factor Authentication (2FA)

7.4 Account Restrictions and Suspension

- You will be notified of any suspension or restriction, unless doing so would compromise security measures or violate legal obligations.
7.5 Maintaining Accurate Information
- You are required to ensure that the information associated with your Jenzy Account remains accurate and up-to-date, including:
- Business name and registration details
- Contact information
- Nominated Account details
- Failure to maintain accurate information may result in transaction delays or account suspension.
7.6 Unauthorized Transactions
- If you believe an unauthorized transaction has occurred, you must:
- Notify Jenzy within 48 hours of discovering the unauthorized transaction.
- Provide any information required to investigate the issue.
- Jenzy will assist in investigating unauthorized transactions but is not liable for transactions processed by financial partners.
7.7 System Maintenance and Downtime
- Jenzy may perform routine maintenance or updates on its platform:
- During maintenance, access to Jenzy Services may be temporarily restricted.
- We will provide advance notice for scheduled maintenance whenever possible.
- Emergency maintenance may occur without prior notice if required for security or stability.
7.8 User Liability
- You are fully liable for any losses resulting from:
- Unauthorized access caused by failure to secure your login credentials.
- Fraudulent activities initiated using your Jenzy Account.
- Misuse or failure to adhere to security practices outlined in this Agreement.
7.9 Jenzy's Limitation of Liability
- Jenzy is not responsible for:
- Losses arising from unauthorized access if you fail to notify us promptly.
- Losses resulting from phishing, hacking, malware, or other third-party cyber threats.
- Delays caused by incorrect information you provide.
8. Prohibited Uses
8.1 Unlawful Activities
- You must not use Jenzy Services to engage in, promote, or facilitate activities that are unlawful or violate any applicable laws or regulations, including but not limited to:
- Money laundering
- Terrorist financing
- Fraud or financial crime
- Tax evasion
- Bribery or corruption
8.2 Restricted Industries
- Jenzy Services must not be used to support or transact with businesses or individuals engaged in the following industries, unless explicitly approved in writing by Jenzy:
- Gambling or betting services
- Adult entertainment or pornography
- Arms manufacturing or distribution
- Cryptocurrency exchanges or trading platforms
- High-risk financial services (e.g., payday loans, high-interest lending)
- Illegal pharmaceutical sales or unlicensed medical distribution
- Pyramid schemes or multi-level marketing
8.3 Sanctioned Countries and Entities
- You must not initiate Payment Transactions to or from:
- Countries that are subject to international sanctions or embargoes.
- Individuals or entities listed on any government-issued sanctions lists (e.g., OFAC, UN, EU).
- Jenzy reserves the right to screen transactions for compliance with sanctions regulations and may block or reject any transaction that violates these terms.
8.4 Fraudulent or Misleading Activities
- You must not use Jenzy Services to:
- Impersonate another person or entity.
- Provide false or misleading information.
- Conceal the true nature of a transaction.
8.5 Prohibited Financial Practices
- The following financial practices are strictly prohibited:
- Structuring transactions to avoid reporting thresholds.
- Using Jenzy Services for speculative trading or leveraged financial activities.
- Engaging in transactions that involve third-party payments not directly linked to your business operations.
8.6 Intellectual Property Infringement
- You must not use Jenzy Services to engage in or facilitate the infringement of intellectual property rights, including:
- Copyrighted material
- Trademarks
- Patents
- Trade secrets
8.7 Consequences of Breach
- If you are found to be engaging in any of the prohibited activities listed above, Jenzy reserves the right to:
- Immediately suspend or terminate your Jenzy Account.
- Report the activity to relevant authorities as required by law.
- Recover any costs or damages resulting from the breach.
- Block or reverse any Payment Transaction associated with prohibited activities.
8.8 Right to Investigate
- Jenzy reserves the right to investigate any suspected breach of this Agreement. You agree to cooperate fully with any investigation, including providing information and documentation as required.
8.9 Notification of Prohibited Activity
- If you become aware of any prohibited use of Jenzy Services, you must notify us immediately at contact@jenzy.xyz.
9. Refunds and Errors
9.1 Refund Requests
- If you believe that a Payment Transaction was executed incorrectly, unauthorized, or resulted in an error, you must:
- Notify Jenzy immediately, and in any event, no later than 30 days from the date of the transaction.
- Provide Jenzy with the transaction reference number and any relevant details for investigation.
9.2 Eligibility for Refunds
- Refunds may be considered if:
- The transaction was not authorized by you.
- There was an error in the execution of the transaction by our financial partners.
- You were charged an incorrect amount.
- A transaction was processed multiple times in error.
9.3 Refund Process
- Upon receiving your refund request, Jenzy will:
- Investigate the claim in collaboration with our licensed financial partners.
- Attempt to rectify the error where possible.
- Communicate the status and outcome of the investigation to you within 10 Business Days.
9.4 Timing of Refunds
- If Jenzy or its financial partners determine that a refund is warranted, it will be processed as soon as reasonably practicable.
- Refunds will be credited back to your Nominated Account unless otherwise agreed.
9.5 Limitations on Refunds
- Jenzy may refuse a refund if:
- The incident was caused by inaccurate or incomplete information you provided.
- You did not notify Jenzy within the specified 30-day period.
- The transaction was executed correctly according to the details you provided.
9.6 Conditions for Non-Refund
- Jenzy is not liable for refund requests if:
- You provided incorrect beneficiary details.
- The recipient's bank or financial institution rejected or delayed the transaction.
- The transaction was blocked due to compliance, sanctions, or regulatory issues.
- The request for a refund is based on changes in currency exchange rates after the transaction was confirmed.
9.7 Resolution of Disputes
- If your refund request is denied and you wish to dispute the decision, you may:

- Provide any additional information or documentation to support your claim.
- Jenzy will re-evaluate your claim and respond within 10 Business Days.
9.8 Errors in Payment Transactions
- If an error is identified that is caused by Jenzy or its financial partners:

- You will be notified of the correction and any resulting adjustments to your Nominated Account.
9.9 User Responsibilities
- You are responsible for:
- Reviewing transaction confirmations promptly.
- Reporting any errors or unauthorized transactions within the specified time frame.
- Providing accurate and complete information during refund or error investigations.
10. Closing Your Jenzy Account
10.1 Requesting Account Closure
- You may request to close your Jenzy Account at any time by:
- Logging into your account and using the account closure feature (if available); or

10.2 Conditions for Closure
- Before your account can be closed:
- All pending Payment Transactions must be completed, canceled, or expired.

- Your transaction history and account information will become read-only, if accessible.
- You are responsible for retaining any necessary records for your own compliance or audit needs.
10.4 Retention of Information

- Regulatory compliance
- Audit obligations
- Fraud prevention

- Required to do so immediately by law, a regulatory authority, or due to a breach of these Terms.
- Your account has been inactive for a prolonged period and attempts to contact you have failed.

10.6 Reopening an Account
- If you wish to use Jenzy Services again after closure, you may need to:

- Pass identity and business verification checks again.
11. Liability and Disclaimers
11.1 Jenzy’s Role and Limitation of Responsibility
- Jenzy acts as a facilitator of Payment Transactions via its platform and does not hold, receive, or control user funds.
- Jenzy is not responsible for the actions or failures of third-party financial institutions or payment processors used to execute transactions.
11.2 No Liability for Third Parties
- Jenzy accepts no liability for losses, delays, or errors caused by:
- Banks or financial institutions used to send or receive funds;
- Third-party service providers or correspondents;
- Failures or delays in banking networks or payment infrastructure.
11.3 No Indirect or Consequential Damages
- To the fullest extent permitted by law, Jenzy shall not be liable for:
- Loss of profits, revenue, or business opportunities;
- Indirect, special, or consequential losses;
- Loss of reputation, goodwill, or anticipated savings;
- Any penalties, interest, or costs incurred by you due to delayed payments.
11.4 Liability Cap
- If Jenzy is found liable for any claim arising out of or relating to this Agreement:
- Jenzy’s total liability shall be limited to the total Fees paid by you to Jenzy in the three (3) months preceding the event giving rise to the claim.
11.5 Force Majeure
- Jenzy is not liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to:
- Acts of God
- War, terrorism, or civil unrest
- Cyberattacks or system failures
- Power outages or communication disruptions
- Changes in law, regulation, or enforcement practices
11.6 Your Indemnity to Jenzy
- You agree to indemnify and hold harmless Jenzy, its directors, employees, and partners from and against any claims, damages, losses, or costs (including legal fees) arising from:
- Your breach of this Agreement;
- Your violation of any applicable laws or regulations;
- Your misuse of Jenzy Services;
- Any claim by a third party arising out of a Payment Transaction initiated by you.
11.7 Disclaimer of Warranties
- Jenzy Services are provided “as is” and “as available.”
- Jenzy makes no express or implied warranties or guarantees, including:
- That services will be uninterrupted, secure, or error-free;
- That exchange rates will be favourable or stable;
- That all transactions will be completed without delay or rejection.
12. Intellectual Property
12.1 Ownership of Jenzy Materials
- All intellectual property rights in the Jenzy platform, website, software, content, documentation, and related materials (collectively, the “Jenzy Materials”) are owned by or licensed to Jenzy Ltd.
- This includes, but is not limited to: source code, trademarks, branding, logos, product designs, interfaces, and proprietary algorithms.
12.2 License to Use Jenzy Services
- Subject to your compliance with this Agreement, Jenzy grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Jenzy Services for your internal business purposes only.
- This license does not permit:
- Commercial resale or redistribution of Jenzy Services;
- Copying, modifying, or reverse-engineering the Jenzy platform;
- Using Jenzy branding without prior written permission.
12.3 Restrictions
- You must not, and must not attempt to:
- Disassemble, decompile, or reverse-engineer any software used in the Jenzy platform;
- Access Jenzy Services for competitive benchmarking or product development;
- Use automated scripts, bots, or data scraping technologies to access or extract information from Jenzy Services.
12.4 Third-Party Intellectual Property
- Some components of the Jenzy Services may include materials or services licensed from third parties. All rights in those third-party elements remain with their respective owners.
12.5 Feedback and Suggestions
- If you provide Jenzy with any feedback, ideas, or suggestions regarding Jenzy Services, you agree that:
- Jenzy is free to use, implement, and commercialize such feedback without restriction or compensation;
- You waive any rights you may have in the feedback.
12.6 No Transfer of Rights
- Nothing in these Terms shall be construed as transferring any ownership rights in the Jenzy Materials or other intellectual property to you or any third party.
13. Data Protection and Privacy
